1. Acceptance of Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and GeoPulse Inc. ("GeoPulse," "we," "our," or "us") governing your access to and use of the GeoPulse website, platform, APIs, and all related services (collectively, the "Service").
By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to any part of these Terms, you must immediately cease using the Service and delete your account.
2. Description of Service
GeoPulse is a cloud-based local SEO analytics and management platform that provides tools for businesses to monitor, analyze, and optimize their local search presence. The Service includes, but is not limited to:
- Local search ranking tracking across multiple search engines and geographic locations
- Google Business Profile audit, optimization recommendations, and performance monitoring
- Citation tracking, consistency analysis, and distribution management across online directories
- Review monitoring, sentiment analysis, and reputation management tools
- Competitive intelligence and local market benchmarking reports
- Automated reporting, white-label dashboards, and client-facing analytics portals
- API access for custom integrations and programmatic data retrieval
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make commercially reasonable efforts to notify you of material changes that may affect your use of the Service.
3. User Accounts
To access most features of the Service, you must register for an account. When creating your account, you agree to:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information to keep it accurate and complete
- Maintain the confidentiality of your login credentials, including your password and any API keys
- Accept full responsibility for all activities that occur under your account, whether or not authorized by you
- Notify us immediately at security@geopulse.io if you suspect any unauthorized access to or use of your account
You may not create multiple accounts for the purpose of circumventing plan limitations, share your account credentials with third parties, or use another user's account without their express permission. We reserve the right to suspend or terminate any account that we reasonably believe violates these requirements.
4. Subscription and Payments
GeoPulse offers both free and paid subscription plans. By subscribing to a paid plan, you agree to the following:
- Billing Cycle: Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected at the time of purchase. The billing cycle begins on the date of your initial subscription and renews automatically at the end of each period.
- Payment Method: You must provide a valid payment method (credit card, debit card, or other accepted method) at the time of subscription. You authorize us to charge your payment method for the applicable fees on each billing date.
- Price Changes: We may adjust subscription pricing at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle following at least 30 days' written notice. Your continued use of the Service after a price change constitutes acceptance of the new pricing.
- Refunds: Annual subscriptions are eligible for a full refund within the first 14 days of purchase. Monthly subscriptions are non-refundable. Refund requests must be submitted to billing@geopulse.io.
- Upgrades and Downgrades: You may upgrade or downgrade your plan at any time through your account settings. Upgrades take effect immediately, and any price difference is prorated for the remainder of the current billing cycle. Downgrades take effect at the start of the next billing period.
- Failed Payments: If a scheduled payment fails, we will attempt to process the charge up to three additional times over a 10-day period. If all attempts fail, your account may be downgraded to a free plan or suspended until payment is resolved.
All fees are exclusive of applicable taxes, which are your responsibility. You agree to pay any sales, use, value-added, or other taxes imposed by applicable law in connection with your subscription.
5. Acceptable Use Policy
You agree to use the Service in compliance with all applicable local, state, national, and international laws and regulations. You may not use the Service to:
- Violate any applicable law, regulation, or third-party rights, including intellectual property, privacy, and publicity rights
- Transmit, upload, or distribute any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
- Attempt to gain unauthorized access to any portion of the Service, other users' accounts, or any systems or networks connected to the Service
- Use automated scripts, bots, crawlers, or scrapers to access or extract data from the Service beyond what is expressly permitted by your subscription plan and our API documentation
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Service
- Engage in any activity that interferes with, disrupts, or places an unreasonable burden on the Service's infrastructure, including denial-of-service attacks or excessive API requests
- Resell, sublicense, or redistribute the Service or any data obtained through the Service without our prior written consent
- Use the Service to generate or disseminate false, misleading, or deceptive business listings, reviews, or rankings
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
We reserve the right to investigate and take appropriate action against any user who, in our sole discretion, violates this Acceptable Use Policy, including suspension or termination of their account without prior notice or refund.
6. Intellectual Property
All content, features, and functionality of the Service — including but not limited to software, code, algorithms, text, graphics, logos, icons, images, audio, video, data compilations, and the overall design and arrangement thereof — are the exclusive property of GeoPulse Inc. or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
- Our License to You: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in accordance with your subscription plan.
- Your Content: You retain ownership of all data, content, and materials that you upload, submit, or transmit through the Service ("User Content"). By submitting User Content, you grant us a worldwide, royalty-free, non-exclusive license to use, host, store, reproduce, and display your User Content solely for the purpose of providing and improving the Service.
- Feedback: Any suggestions, ideas, enhancement requests, or other feedback you provide regarding the Service ("Feedback") shall become the exclusive property of GeoPulse. You hereby assign to us all rights, title, and interest in such Feedback, and we may use it for any purpose without obligation or compensation to you.
The GeoPulse name, logo, and all related product and service names, designs, and slogans are trademarks of GeoPulse Inc. You may not use these marks without our prior written permission.
7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall GeoPulse Inc., its directors, officers, employees, agents, affiliates, successors, or assigns be liable for any of the following, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory:
- Any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings
- Any damages arising from your inability to use the Service, unauthorized access to or alteration of your data or transmissions, or any third-party conduct on the Service
- Any damages arising from service interruptions, system failures, data loss, or security breaches, even if we have been advised of the possibility of such damages
Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total fees paid by you to GeoPulse during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, GEOPULSE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- ANY WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
- ANY WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY DATA, CONTENT, OR INFORMATION PROVIDED THROUGH THE SERVICE
- ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE
GeoPulse does not guarantee any specific results from the use of the Service. Local search rankings, citation data, and analytics insights are provided for informational purposes only and should not be relied upon as the sole basis for business decisions. You acknowledge that search engine algorithms, directory listings, and third-party platforms are outside our control and may change at any time.
9. Termination
Either party may terminate this agreement at any time, subject to the following:
- Termination by You: You may cancel your subscription and close your account at any time through your account settings or by contacting us at support@geopulse.io. Cancellation will take effect at the end of your current billing period, and you will retain access to the Service until that date. No partial refunds will be issued for the remaining portion of your billing cycle unless otherwise stated in these Terms.
- Termination by Us: We may suspend or terminate your account immediately, without prior notice or liability, if we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or if your continued use of the Service poses a risk to our platform, other users, or third parties.
- Effect of Termination: Upon termination, your right to access and use the Service will cease immediately. We will retain your data for a period of 30 days following termination, during which you may request an export of your data. After this 30-day period, we reserve the right to permanently delete all data associated with your account. Sections of these Terms that by their nature should survive termination (including, without limitation, Sections 6, 7, 8, and 10) shall survive.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in San Francisco County, California, and you irrevocably consent to the personal jurisdiction and venue of such courts.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect.
11. Changes to Terms
We reserve the right to revise, amend, or update these Terms at any time at our sole discretion. When we make material changes, we will:
- Update the "Last updated" date displayed at the top of this page
- Send a notification to the email address associated with your account at least 14 days before the revised Terms take effect
- Display a prominent in-app notification alerting you to the changes
Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of and agreement to the updated Terms. If you do not agree with the revised Terms, you must stop using the Service and close your account before the changes take effect.
It is your responsibility to review these Terms periodically. We recommend bookmarking this page and checking for updates at least once per quarter.
